TERMS OF SERVICE

These Terms of Service ("Terms") govern your use of Memory-of-Agents' AI memory infrastructure platform ("Service") operated by Memory-of-Agents, Inc. ("Company").

1. ACCEPTANCE OF TERMS

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. SERVICE DESCRIPTION

Memory-of-Agents provides a dual-track AI memory infrastructure platform that enables:

  • Zero-loss information storage and retrieval
  • Advanced semantic search capabilities
  • API access for integration with AI agents
  • Enterprise-grade security and compliance

3. USER ACCOUNTS

To access certain features, you must create an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Providing accurate and complete information
  • Immediately notifying us of unauthorized use

4. ACCEPTABLE USE

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Store illegal, harmful, or offensive content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Reverse engineer or attempt to extract source code
  • Use the Service for competitive intelligence

5. BILLING AND PAYMENTS

Payment Terms

  • Pay-as-you-go pricing based on usage
  • Charges are billed monthly in arrears
  • All fees are non-refundable except as stated in our refund policy
  • Taxes are your responsibility where applicable

Suspension

We may suspend your account for non-payment or violation of these Terms. Data may be deleted after 30 days of suspension.

6. INTELLECTUAL PROPERTY

You retain FULL ownership and control of all content you store ("Your Content"). We act solely as a secure storage and processing service.

  • We never claim ownership of your data
  • We only process your data to provide the exact service you request
  • You can revoke access and delete all data at any time
  • No hidden licenses or rights beyond essential service provision

Our Technology

The Service platform, including software, algorithms, and documentation, is our proprietary property protected by intellectual property laws. This does not affect your complete ownership of your data and content.

7. DATA AND PRIVACY

Your privacy is our foundation. We take privacy at our heart and operate under strict principles that put you in complete control.

  • We do NOT use your data for any purpose except providing you the service you request
  • We only access your data for customer support when you explicitly authorize it
  • We never share, sell, or analyze your data for commercial purposes
  • You have full rights to access, modify, or delete your data at any time

Our collection and use of information is governed by our Privacy Policy, which is incorporated by reference into these Terms.

8. SERVICE AVAILABILITY

We strive to maintain high availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue the Service with reasonable notice.

SLA Targets:
• Developer: 99.9% uptime
• Organization: 99.99% uptime
• Enterprise: Custom SLA available

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMORY-OF-AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR GOODWILL.

10. TERMINATION

Either party may terminate this agreement at any time. Upon termination, your right to use the Service ceases immediately.

🔄 Your Data Upon Termination

  • 30-Day Grace Period: Your data remains accessible for 30 days after termination
  • Data Export: You can download all your data in standard formats
  • Complete Deletion: After 30 days, we permanently delete all your data
  • No Hidden Copies: We don't retain any copies for our use

11. GOVERNING LAW

These Terms are governed by the laws of [Jurisdiction to be determined], without regard to conflict of law principles. Any disputes will be resolved through binding arbitration.
